(hereinafter referred to as the “Provider”, “we”, “us”, or “our”)
These Terms of Service (the “Terms”) govern your access to and use of the proxy services (the “Services”) provided by Parlinx Tech OÜ. By registering for, accessing, or using our Services, you (the “User”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Description of Services
The Provider offers commercial proxy server services, including but not limited to HTTP(S) and residential proxy solutions, designed to route internet traffic through intermediary servers. Services are sold on a one‑time, non‑recurring basis (e.g., fixed‑term access, traffic‑based packages, or single payment for a defined service period). The Provider does not offer automatic renewals or subscription billing.
2. Eligibility and Account Registration
2.1 You must be at least 18 years old or have the legal capacity to enter into binding contracts under the laws of your jurisdiction.
2.2 You agree to provide accurate, current, and complete information during registration and to update such information promptly upon any change.
2.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Acceptable Use Policy
You agree not to use the Services for any illegal, abusive, or unauthorised purpose, including but not limited to:
3.1 Illegal activities: Violating any applicable laws or regulations (including but not limited to data protection, anti‑hacking, anti‑fraud, and intellectual property laws) in Estonia, your local jurisdiction, or any other relevant jurisdiction.
3.2 Network abuse: Launching denial‑of‑service (DoS/DDoS) attacks, port scanning, sending unsolicited communications (spam), distributing malware, ransomware, or phishing content.
3.3 Infringement of rights: Accessing, distributing, or facilitating access to child sexual abuse material (CSAM), infringing copyrighted or trademarked content, or violating trade secrets.
3.4 Fraudulent conduct: Engaging in payment fraud, identity theft, credit card testing, account takeover, or any deceptive practice.
3.5 Bypassing security measures: Circumventing technological protection measures, accessing systems without authorisation, or violating any third‑party service’s terms of use (e.g., using proxies to evade platform bans or rate limits in violation of that platform’s rules).
3.6 Resale without permission: Sub‑licensing, reselling, or redistributing the Services or any portion thereof without prior written consent from the Provider.
4. Prohibited Content
You may not use the Services to transmit, store, or display any content that:
- Is defamatory, harassing, abusive, threatening, or incites violence;
- Contains explicit or graphic sexual material (unless expressly permitted by the service plan and applicable law);
- Promotes hatred, discrimination, or violence against any group or individual;
- Discloses another person’s private or confidential information without their consent.
5. Privacy and Data Processing
The Provider does not maintain logs of User internet activity through the proxy servers beyond what is strictly necessary for network operation, security, and billing. Any personal data collected (e.g., email address, payment information) will be processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). A separate Privacy Policy applies and is incorporated by reference into these Terms.
6. Fees and Payment
6.1 All fees for the Services are one‑time, prepaid, and specified in the plan or invoice you select (e.g., a fixed amount for a defined data volume, a specific number of days, or a non‑renewing service term).
6.2 No recurring billing: The Provider does not set up automatic renewals, recurring subscriptions, or continuous payment authorisations. Once your purchased Service period or allocated usage expires, your access will cease unless you actively make a new, separate one‑time purchase.
6.3 Payment is due in full before you receive access to the Services. The Provider accepts payment methods as indicated on the website. No partial payments are accepted.
6.4 Refund policy: All payments are non‑refundable, except in the case of a verifiable Service outage caused solely by the Provider that lasts more than 48 consecutive hours. In such a case, the Provider may, at its sole discretion, offer a pro‑rata credit towards a future one‑time purchase or a partial refund limited to the unused portion of the specific Service. No refunds are given for changes of mind, incompatibility with your software, or any violation of these Terms.
7. Service Availability and Modifications
7.1 The Provider uses commercially reasonable efforts to maintain Service availability, but does not guarantee uninterrupted or error‑free operation.
7.2 Scheduled maintenance will be notified to Users where reasonably practicable. No compensation is provided for scheduled downtime.
7.3 The Provider reserves the right to modify, suspend, or discontinue any part of the Services without liability. Because there are no recurring payments, any prepaid but unused Service will be refunded on a pro‑rata basis only if the Provider permanently discontinues the Service before your purchased period expires.
8. Termination
8.1 By User: You may stop using the Services at any time. No refund will be provided for the unused portion of a purchase.
8.2 By Provider: We may suspend or terminate your access immediately (without refund) if:
- You violate any provision of these Terms (particularly the Acceptable Use Policy);
- You provide false or misleading information during registration or payment;
- Required by law or judicial order.
8.3 Upon termination, your right to use the Services ceases immediately. No portion of the one‑time fee will be refunded for terminations resulting from your breach.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR SECURITY. THE PROVIDER DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE FREE FROM ERRORS, INTERRUPTIONS, OR MALICIOUS CODE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PARLINX TECH OÜ, ITS MANAGEMENT BOARD MEMBERS, SHAREHOLDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL ONE‑TIME FEES PAID BY YOU TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Parlinx Tech OÜ and its representatives from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- Your violation of these Terms;
- Your misuse of the Services;
- Your violation of any applicable law or third‑party rights.
12. Governing Law and Dispute Resolution
12.1 These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict‑of‑laws principles.
12.2 Any dispute arising from or relating to these Terms or the Services shall be resolved by the Harju County Court (Harju Maakohus) in Tallinn, Estonia, unless mandatory consumer protection laws provide otherwise.
12.3 If you are a consumer (a natural person acting outside your trade or profession), you may also bring a claim before the courts of your habitual residence, and alternative dispute resolution (ADR) through the Estonian Consumer Disputes Committee may be available.
13. Amendments
The Provider reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or a notice through the Service at least 15 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. Because there are no recurring payments, any change to the fee structure will only apply to future one‑time purchases.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely achieves the original commercial intent.
